In order to achieve the thrust of Cooperative Development and to have a common venue for education and training, the Office of the Governor initiated and funded the construction of the CaCoDeC. Built to an amount of P.2million, the center houses the office of the PCDO, CDA,CUC and the PCDC.&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;A one-stop shop for cooperatives, the center formally opened its door to the public on Nov. 8, 2002. Various lectures, training, symposia and fora ranging from pre-membership education seminar (PMES) to bookkeeping to updates on coop development training have been held in the center benefiting hundreds of coops and thousands of their members. Duterte welcomed the entry in Davao City of one of the biggest cooperative in Mindanao, the Tagum Cooperative, with over 31,081 members spread out in the provinces of Tagum, Panabo and Davao, with a total asset of Php583.3-million.&lt;br /&gt;&lt;br /&gt;The Tagum Cooperative, in one of its expansion program have established a satellite (branch) office located at McArthur highway (fronting NCCC mall), with Robert de Castro as its Davao Satellite Office branch manager.&lt;br /&gt;&lt;br /&gt;In its formal inauguration Sunday, Davao City Development Cooperative head Engr. Jaime Adalin represented Mayor Duterte to grace the special occasion and read the inspirational speech of the Mayor.&lt;br /&gt;&lt;br /&gt;“You (Tagum coop) have shown that Davao City is truly an investment haven and we are honored to have you to be part of the growing business community,” the speech of Mayor Duterte stated.&lt;br /&gt;&lt;br /&gt;“The expansion of Tagum Cooperative (TC) services in Davao City is one potential area of partnership and complementation with our existing cooperative livelihood assistance program aimed at uplifting the socio-economic conditions of the cooperative members and their organization,” it stated.&lt;br /&gt;&lt;br /&gt;For their part, TC Chairperson Antonio Arañas and TC Vice Chair Norma Pereyras both said that TC is committed to be partners with Davao City’s efforts for the city’s total development.&lt;br /&gt;&lt;br /&gt;In an exclusive interview with Baby Gomez and Edith Isidro – both of the Philippine Information Agency (PIA), Manager de Castro said TC has also branch offices in Carmen, Davao Norte;Nabunturan, Comval province; and Buhangin, Davao City.&lt;br /&gt;&lt;br /&gt;Manager de Castro said Buhangin branch is slated to transfer along Bajada by July this year to make the cooperative more accessible to the public.&lt;br /&gt;&lt;br /&gt;As of end of March 2008, TC loan portfolio reached Php384.1-million; total deposits – Php289.5-million; Share Capital – Php156-million; and total net income – Php4.6-million.&lt;br /&gt;&lt;br /&gt;We are proud to say that “TC has no external credit” and we have no loans nor borrowed anywhere else. The ATI is the training and educational arm of the Department of Agriculture. This training was conducted in relation to the implementation of the Association of South East Asian Nation (ASEAN) South-South Cooperation Project which focuses on Agricultural Productivity Enhancement in Developing Countries.&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p style="text-align: justify;"&gt;A total of 33 participants attended the said training. The participants came from Cambodia, Lao PDR, Vietnam, Malaysia, Thailand, Indonesia, Brunei Darusallam, and Philippines. Each country has three (3) participants composed of one (1) extension worker and two (2) member representatives of the cooperative sector and 12 (CDA-5; ATI-4; and LGUs-3) from Philippines being the host country.&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p style="text-align: justify;"&gt;The training aimed to enhance the knowledge, skills and attitudes of the participants on agricultural marketing focused on cooperatives.&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p style="text-align: justify;"&gt;To officially start the international training, an Opening Ceremony was done around 3:30-5:00 in the afternoon. The Hon. Rodrigo R. Duterte, City Mayor of Davao , Dir. Asterio P. Saliot and Asst. Dir. Alberto Maningding of DA-ATI, Center Dir. Richard C. Rubis of ATI-XI, and Edna Mabesa, Phd., chief of Agricultural Extension Academy (AEA) Division of ATI graced the occasion.&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p style="text-align: justify;"&gt;The course content included the following Modules: I - Philippine Cooperatives- A Situationer; II- Organizational Development and Strengthening of Cooperatives; III- Cooperative Governance; IV- Agricultural Marketing as a Cooperative Business, and V- Resource Mobilization. To ensure maximum learning, the following methodologies were adapted: lecture-discussion, brainstorming, workshops, structured learning exercises, report presentation, plenary sessions, experiential sharing and field trips.&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p style="text-align: justify;"&gt;The following competent resource persons discussed topics on their field of expertise, to wit; Ms. Lecira V. Juarez, chairperson of CDA Manila, Mr. JA Zenchu of Japan, Ms. Elma R. Oguis, assistant regional director of CDA-XI, Mr. Glenn S. Garcia, Mr. Antonio C. Ecobar, Ms. Margarita A. Bauto of CDA-XI, Ms. Nenita R. Malbas, president of CU-TE, Mr. Rodney Cordova of local government unit of Davao del Norte, Mr. Francisco A. Ramos, director of DA-AMAS, Engr. Vedastito C. Galvez, division chief of Department of Trade and Industry (DTI), Davao del Norte, Dr. Alexander M. Campaner, president SPAMAST, and Ms. Necitas S. Lazaga.&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p style="text-align: justify;"&gt;Part of the training was exposure of the participants in field learning activities and interaction with members, officers and management of a Marketing/Processing Cooperatives and Technology Farms at Magsaysay Cooperative and Bansalan Cooperative. Likewise, they visited CASMIDECO, Cavendish Banana Producer, to observe on the cooperative operations and services rendered and a field trip to BIAO MPC- a Banana Paper Making Consumers Cooperative at Matina, Davao City and of course, to include an environmental appreciation of Davao City.&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p style="text-align: justify;"&gt;Action Planning, Workshop on Action Plan Preparation, Presentation of Action Plan, and evaluation of the training was done at Bayview Park Hotel , Metro Manila. Also, a tour around the National Capital Region was also included in the scheduled field trips.&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p style="text-align: justify;"&gt;Agricultural cooperatives worldwide are confronted with new sets of issues and problems. The globalization of the world trade market makes the local farmers to compete with farm products imported from abroad. I never dreamt of becoming somebody but God placed me where I am now. I was appointed as member of the Board of Administrators of the Cooperative Development Authority last December 7, 2006 representing Mindanao, the Philippines' second biggest island. I took my oath of office on January 8, 2007. I am actually a woman of "firsts": the first to be appointed as a lady Regional Director in the entire CDA taking the baton of leadership of CDA-Kidapawan Extension Office in 1992; under my leadership, the first and so far the only CDA region to put up its own building now known as Cooperative Human Resource and Livelihood Development Center (CHRLDC) cum CDA Region XII headquarters, &lt;/span&gt;&lt;span style="font-family: arial;"&gt;at no cost from CDA coffers;&lt;/span&gt;&lt;span style="font-family:arial;"&gt; the first CDA Administrator who rose from the ranks and presently the only career executive officer in the CDA Board of Administrators, and the first and the only officer from CDA who landed a notch in the 9-person finalists of the 2007 Most Outstanding Career Executive Officers (CEOs) by the Career Executive Service Board (CESB). &lt;/span&gt;  &lt;span style="font-family:arial;"&gt;Fondly called by friends and classmates as Rose or Linda, from subordinates as Maam Linda, and from the clan as T-lin or Aunty Lin, I am now in my 3rd decade of public service. This question and answer form                                        should make organizing cooperatives a little                                        more understandable to the cooperative organizer.                                       &lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Is A Cooperative?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      A cooperative is a duly registered association                                        of persons with a common bond of interest,                                        who have voluntarily joined together to                                        achieve a lawful common social or economic                                        end, making equitable to contribution to                                        the capital required and accepting a fair                                        share of the risks and benefits of the undertaking                                        in accordance with universally accepted                                        cooperative principle.&lt;br /&gt;                                     &lt;br /&gt;                                      By forming a cooperative you pool money,                                        human resources and talent to build capital                                        and work together to produce more goods                                        and raise incomes. Through cooperatives,                                        you can look for the other sources of loans                                        at low interest rates of borrowing form                                        informal lenders or users. The cooperative                                        can also be a mechanism for marketing your                                        produce.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What are the Principles of Cooperativism?&lt;/b&gt;                                       &lt;br /&gt;                                     &lt;br /&gt;                                      The cooperative principles were reformulated                                        by the International Cooperative Alliance                                        in Vienna in 1966 during its 23 Congress.                                       &lt;br /&gt;                                     &lt;br /&gt;                                      The first principle is anchored on voluntarism.                                        This means that each member of a cooperative                                        becomes a member voluntarily and is not                                        restricted by social , political or religious                                        discrimination . In fact anyone who meets                                        the qualifications set by a cooperative's                                        bylaws can be a member if he willingly shoulders                                        their responsibility.&lt;br /&gt;                                     &lt;br /&gt;                                      The second principle is democracy. Coops                                        are democratic organizations with officers                                        and managers elected or appointed in a manner                                        agreed on by members. Each member, no matter                                        the amount of his share, is entitled to                                        one vote.&lt;br /&gt;                                     &lt;br /&gt;                                      The third principle is the limitation of                                        share capital interest. In the context of                                        cooperativism, interest on a member share                                        capital is limited so that no person- especially                                        those with money- can have an overwhelming                                        equity in the coop. This prevents the domination                                        of the coop's affairs by wealthy members                                        at the expense of poorer members and the                                        organization as whole.&lt;br /&gt;                                     &lt;br /&gt;                                      The fourth principle, essentially a manifestation                                        of the third principle, revolves on the                                        sharing all location of cooperatives surplus                                        or savings. At bottom, it mandates distribution                                        of surplus equitably so that no member,                                        gains at the expense of another. Tertiary - The member of which are                                        secondaries upward to one or more apex organizations.                                        Cooperatives whose members are cooperatives                                        are called federations or unions.&lt;br /&gt;                                     &lt;br /&gt;                                      In terms of territory, cooperatives are                                        categorized according to areas of operation                                        which may not be coincide with the political                                        subdivisions of the country.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What are the General Steps in Forming                                        a Cooperative?&lt;/b&gt;&lt;br /&gt;&lt;br /&gt;                                      Basically, there six steps in setting up                                        a cooperative.&lt;br /&gt;&lt;br /&gt;&lt;i&gt;First&lt;/i&gt;, get                                        organized. You must have at least 15 members                                        to do that. At once determine the common                                        problems you would want solved and the basic                                        needs you would want provided for through                                        a cooperative. It, in fact a project                                        feasibility study. The structure describes                                        the kind of cooperative being set, up whether                                        it is primary, secondary or tertiary and                                        whether it is a credit, consumer transport                                        or any other type of coop.&lt;br /&gt;&lt;br /&gt;                                      The purpose defines the primary, secondary                                        and other objectives of the cooperative.                                        The area of operation merely indicates the                                        general merely indicates the geographical                                        or sectoral of the coop. For example, a                                        cooperative may operate in, say Caloocan                                        City; or it may operate in a certain sector                                        like farmers. Size of membership is important                                        so as to set limits to the coop's scope                                        of operation. This is closely related to                                        cooperative structure.&lt;br /&gt;&lt;br /&gt;                                      The most important part of the survey is                                        the economic feasibility. Here, the prospective                                        coop members estimate the income and expenses                                        of the cooperative. A term of office                                        must not exceed two years. Also no director                                        can serve for more than three (3) consecutive                                        terms.&lt;br /&gt;                                     &lt;br /&gt;                                      The board of directors must hold monthly                                        meetings, unless the by laws say otherwise.                                        Special meetings may be called any time                                        by the chairman.&lt;br /&gt;                                     &lt;br /&gt;                                      Directors cannot attend or vote by proxy                                        at board meetings.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;Who Can Be Members Of The Board                                        Of Directors?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      All regular members who meet the qualification                                        and none of the disqualification set by                                        the laws of the cooperative can be elected                                        to the board of directors.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;How Are The Officers Of The Cooperative                                        Chosen?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      The board of directors elect among themselves                                        only the chairman and vice- chairman.&lt;br /&gt;                                     &lt;br /&gt;                                      Then they either elect or appoint the other                                        officers needed by the cooperative, such                                        as the treasurer who takes custody of all                                        the moneys, securities and papers and maintains                                        complete records of its cash transactions                                        and secretary who keeps the records of the                                        cooperative.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Are The Committees Needed By                                        A Cooperative?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      Through the bylaws, a cooperative may be                                        form any committee it thinks necessary for                                        its operation.&lt;br /&gt;                                     &lt;br /&gt;                                      An executive committee may also be formed.                                        The board of directors appoints its members                                        and may, through a majority vote, delegate                                        powers to it.&lt;br /&gt;                                     &lt;br /&gt;                                      As a reminder an audit committee must be                                        provided for in the bylaws of the cooperative.                                       &lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Constitutes A Quorum?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      Unless the by laws define it otherwise,                                        a quorum consist of 25% of all the regular                                        members entitled to vote. For the board                                        of directors a simple majority of its member                                        makes a quorum.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Books Should Be Maintained                                        And Kept Open?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      Books to be maintained and kept open to                                        the members of the cooperative and the CDA                                        are :                                        &lt;ul&gt;&lt;li&gt;A copy of the Cooperative Code of                                            the Philippines and all other laws about                                            cooperatives; &lt;/li&gt;&lt;li&gt;A copy of the regulations of the CDA;                                          &lt;/li&gt;&lt;li&gt;A register of member; &lt;/li&gt;&lt;li&gt;Minutes of the meetings of the general                                            assembly, board of directors and committees;                                            Share books; &lt;/li&gt;&lt;li&gt;Financial statements; and &lt;/li&gt;&lt;li&gt;Other documents as may be prescribed                                            by laws or the by-laws. &lt;/li&gt;&lt;/ul&gt;                                      &lt;br /&gt;&lt;b&gt;Are Cooperatives Required To Be                                        Audited Annually?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      Yes, Cooperatives are subject to an annual                                        audit by an auditor who is independent of                                        the cooperative being audited and of any                                        subsidiary of the cooperative and is a member                                        of any recognized professional accounting                                        or cooperative auditor's association with                                        similar qualifications.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;Is There A Needed For An Annual                                        Report?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      Yes.&lt;br /&gt;                                     &lt;br /&gt;                                      An annual report about the affairs of the                                        cooperative must be given to each member                                        and to the federation/union to which it                                        is affiliated and the CDA every fiscal year.                                       &lt;br /&gt;                                     &lt;br /&gt;                                      Failure to file the annual report may result                                        in cancellation of the certificate of registration.                                       &lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;Can The CDA Intercede In Behalf                                        Of The Coops Member?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      If the board of directors does not call                                        regular or special meetings of the general                                        assembly, the CDA can, through a petition                                        of 10% of all the members, issue an order                                        directing the board to call for such meetings.                                       &lt;br /&gt;                                     &lt;br /&gt;                                      The CDA may also call special meetings for                                        the purpose of reporting to the members                                        the results of audit, examination, or other                                        investigation of the cooperative ordered                                        or made by it.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Privileges Does A Cooperative                                        Have Under The New Cooperative Code?&lt;/b&gt;                                       &lt;br /&gt;                                     &lt;br /&gt;                                      The coop manager must know the many benefits                                        accruing to cooperatives under the new law.                                        By knowing these privileges, the manager                                        can save the cooperative a lot of money.                                        Cooperative privileges include tax exemption,                                        general privileges accorded to all cooperatives,                                        and special privileges granted to specific                                        types of cooperatives.&lt;br /&gt;                                     &lt;br /&gt;                                      For instance, a cooperative which does not                                        transact business with non-members or the                                        general public are exempted from government                                        taxes or fees imposed under the Internal                                        Revenue Laws and other laws.&lt;br /&gt;                                     &lt;br /&gt;                                      If a cooperative transacts business with                                        both the general public and its members,                                        it is nevertheless exempted from paying                                        taxes on the transaction made with its members.                                       &lt;br /&gt;                                     &lt;br /&gt;                                      Even then, coops which transact business                                        with the general public still enjoy very                                        liberal tax exemptions.&lt;br /&gt;                                     &lt;br /&gt;                                      Coops with accumulated reserves and undivided                                        net savings of not more than P10 million                                        are exempt from national, city, provincial,                                        municipal or barangay taxes. They are exempt                                        from customs duties , advance sales or compensating                                        taxes on importation of machineries and                                        spare parts which are not available locally                                        as long as the Department of Trade and Industry                                        certifies it so.&lt;br /&gt;                                     &lt;br /&gt;                                      Even coops with more than P10 million accumulated                                        reserves and undivided net savings are exempt                                        from paying income and sales taxes on sales                                        to members for a period of at least 10 years                                        from registration.&lt;br /&gt;                                     &lt;br /&gt;                                      Donations to charitable, research and educational                                        institutions and reinvestment in socio-economic                                        projects are also tax deductible.&lt;br /&gt;                                     &lt;br /&gt;                                      Transactions with banks and insurance companies                                        are exempted from paying local taxes.&lt;br /&gt;                                     &lt;br /&gt;                                      Judges who are ex-officio notaries public                                        will give free service to coops related                                        to registration and instrument of loan not                                        exceeding P50,000.00.&lt;br /&gt;                                     &lt;br /&gt;                                      Register of deeds will register for free                                        any instrument of a coop relative to loan                                        not exceeding P50,000.00.&lt;br /&gt;                                     &lt;br /&gt;                                      Coops are exempt from paying court and sheriffs                                        fees. Coops are exempt from putting up a                                        bond when it makes a court appeal.&lt;br /&gt;                                     &lt;br /&gt;                                      Securities issued by coops are exempt from                                        the provisions of the Securities Act as                                        long as these securities are not speculative.                                       &lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Are The General Privileges                                        Enjoyed By Cooperatives?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      These privileges are:                                        &lt;ul&gt;&lt;li&gt;Three right to deposit their valuable                                            in government offices free of charge                                            with the government official acting                                            as custodian of such valuables. &lt;/li&gt;&lt;li&gt;Free use of space, when the cooperative                                            members are government employees, in                                            the same government office. &lt;/li&gt;&lt;li&gt;Special types of coops like cold storage,                                            electricity, transport and similar services                                            can open their membership to all persons                                            qualified in their areas of operation.                                          &lt;/li&gt;&lt;li&gt;The preferential right to supply government                                            offices with their produce, in the allocation                                            of fertilizer and rice distribution,                                            use of butteries for shipment of their                                            goods, and in the management of public                                            markets. &lt;/li&gt;&lt;li&gt;Entitlement to loans, credit line,                                            and rediscounting of notes with government                                            financial institution like PNB, Land                                            Bank and DBP. &lt;/li&gt;&lt;li&gt;Exemption from prequalification requirements                                            when bidding for a government project.                                          &lt;/li&gt;&lt;li&gt;The right to be represented by the                                            provincial or city fiscal or the Office                                            of the Solicitor general, free of charge                                            in legal suits. &lt;/li&gt;&lt;/ul&gt;                                      &lt;br /&gt;&lt;b&gt;How Is The Net Surplus Of A Cooperative                                        Allocated And Distributed?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      Generally, the distribution of a cooperatives                                        surplus is determined by-laws. Surplus is                                        determined at the close of a coops fiscal                                        year or as prescribe by its by-laws. A cooperatives                                        surplus is not profit in the usual sense                                        of the word. Surplus is considered excess                                        payment by the members or the loans they                                        borrowed or the goods and services they                                        bought from the cooperative.&lt;br /&gt;                                     &lt;br /&gt;                                      As far as the coop is concerned, this excess                                        payment or surplus is considered as having                                        been returned to the members if the surplus                                        is distributed in the following manner.                                        First priority goes to the reserve fund                                        at least 10 percent of the net surplus.                                        The reserve funds is meant or stabilize                                        coop operations and may be used only for                                        investments allowed by the code.&lt;br /&gt;                                     &lt;br /&gt;                                      Second priority goes to the Education and                                        Training fund which is not more than 10                                        percent of net surplus. The cooperative                                        now needs a legal personality, so that a                                        cooperative is supposed to perform. With                                        a legal, personality, the cooperative can                                        borrow money, sell its goods, and services,                                        deliver goods, and enter into all sorts                                        of business transactions. So that your cooperative                                        can do all these, you must register your                                        cooperative . Here is how you do it.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;Where Do You Register a Cooperative?&lt;/b&gt;                                       &lt;br /&gt;                                     &lt;br /&gt;                                      The Cooperative Development Authority is                                        the only government agency empowered to                                        register all types of cooperatives.&lt;br /&gt;                                     &lt;br /&gt;                                      Its main office at 5th and 6th floors BEN-LOR                                        Building, 1184 Quezon Avenue, Quezon City.                                        To facilitate the flow of its services,                                        extension offices have been set-up. These                                        are located in (1) Dagupan City; (2) Tuguegarao,                                        Cagayan; (3) Baguio City; (4) Sto. Tomas                                        Pampanga; ( 5) Manila Extension Office (MEO),                                        Quezon Avenue, Quezon City; (6) Calamba                                        Laguna; (7) Naga City; (8) Iloilo City;                                        (9) Cebu City; (10) Tacloban City; (11)                                        Pagadian City; (12) Cagayan De Oro; (13)                                        Davao City; (14) Kidapawan, Cotabato; and                                        (15) Butuan City.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Are The General Requirements                                        In Registering A Cooperative?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      You will need four copies each of the Economic                                        Survey, By -Laws and Articles of Cooperation.                                        The Articles of Cooperation should be duly                                        notarized and accompanied by there following.                                        &lt;ul&gt;&lt;li&gt;Bonds of the accountable officers                                            (any director, officer and employee                                            handling funds, securities offices and                                            employee handling funds, securities                                            or properties on behalf of the cooperative.                                            The board of directors determine the                                            amount of bonds required based on the                                            initial network which shall include                                            the paid-up capital, membership fees                                            and other assets of the cooperative                                            at the time of registration); and &lt;/li&gt;&lt;li&gt;Sworn statement of the treasurer showing                                            that at least 25% of the authorized                                            share has been subscribed and at least                                            25% of the total subscription has been                                            paid. The paid-up capital must not be                                            less than P2,000. It must be noted that                                            no member may own more than 20% of the                                            subscribed capital; and that each share                                            must not be less than P1.00 &lt;/li&gt;&lt;/ul&gt;                                      &lt;br /&gt;&lt;b&gt;How Much Is The Registration Fee?&lt;/b&gt;                                       &lt;br /&gt;                                     &lt;br /&gt;                                      CDA Memorandum Circular No. 92-004, effective                                        01 May 1992 provides that provides that                                        registration fee shall be one tenth (1/10)                                        of one percent of the paid- up share capital                                        with the minimum of P250 for new primary                                        cooperative; P500 for secondary cooperative,                                        P2,000.00 for tertiary cooperative while                                        laboratory cooperative is free of charge.                                       &lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Are The Types And Registration                                        Fee?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      The following are the types of cooperatives:                                       &lt;br /&gt;                                     &lt;br /&gt;                                      Credit Cooperative promotes thrift and savings                                        among its member and creates funds in order                                        to grant loans for productive and provident                                        purposes;                                        &lt;ul&gt;&lt;li&gt;Consumer Cooperative- the primary                                            purpose is to procure and distribute                                            commodities to member and non- member;                                          &lt;/li&gt;&lt;li&gt;Producer Cooperative- undertake joint                                            production whether agricultural or industrial;                                          &lt;/li&gt;&lt;li&gt;Marketing Cooperative- engages in                                            the supply of production inputs to members,                                            and markets their products; &lt;/li&gt;&lt;li&gt;Service Cooperative - engages in medical                                            and dental care, hospitalization, transportation,                                            insurance , housing, labor, electric                                            light and power, communication and other                                            services; and &lt;/li&gt;&lt;li&gt;Multi-Purpose Cooperative- combines                                            two(2) or mores of the business activities                                            of these different types of cooperative.                                          &lt;/li&gt;&lt;/ul&gt;                                      &lt;br /&gt;                                      According to membership and territory, the                                        following are the categories of cooperative:                                       &lt;br /&gt;                                     &lt;br /&gt;                                      In terms of membership:                                        &lt;ul&gt;&lt;li&gt;Primary - The members of which are                                            natural persons of legal age; &lt;/li&gt;&lt;li&gt;Secondary - The member of which are                                            primaries; &lt;/li&gt;&lt;li&gt;Tertiary- The members of which are                                            secondaries upward to one or more apex                                            organizations. Cooperative whose member                                            are cooperatives are called federation                                            or unions. In terms of territory, cooperatives                                            are categorized according to areas of                                            operation which may or may not coincide                                            with the political subdivision of the                                            country. &lt;/li&gt;&lt;/ul&gt;                                      &lt;br /&gt;&lt;b&gt;For What Purpose May A Federation                                        May Of Cooperatives Be Registered?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      A federation of Cooperatives whose members                                        are primary and /or secondary cooperatives                                        with a single line or multi- purpose business                                        activities may be registered for any or                                        all of the following purposes:                                        &lt;ul&gt;&lt;li&gt;Primary Purpose- To carry on, encourage                                            on any cooperative enterprise authorized                                            under Article 6 of R.A. 6938; &lt;/li&gt;&lt;li&gt;Secondary Purposes- To carry on, any                                            encourage and assist educational and                                            advisory work relating to its member                                            cooperatives; &lt;/li&gt;&lt;li&gt;To render services designed to encourage                                            simplicity, efficiency, and economy                                            in the conduct of the business of its                                            member cooperatives and to facilitate                                            the implementation of their bookkeeping                                            , accounting and other systems and procedures;                                          &lt;/li&gt;&lt;li&gt;To coordinate and facilitate the activities                                            of its member cooperatives; &lt;/li&gt;&lt;li&gt;To print, publish, and circulate any                                            newspaper of other publication in the                                            interest of its member cooperatives                                            and enterprises; &lt;/li&gt;&lt;li&gt;To enter into joint ventures with                                            national or international cooperative                                            of other countries in the manufacture                                            and sale of products and/ or services                                            in the Philippines and abroad; and.                                          &lt;/li&gt;&lt;li&gt;To perform such other function as                                            nay be necessary to attain its objectives.                                          &lt;/li&gt;&lt;/ul&gt;                                      &lt;br /&gt;                                      A federation of Cooperatives may be registered                                        by carrying out the formalities of registration                                        of a cooperative. Registered cooperatives                                        may organize a federation at the provincial,                                        city, regional, and national levels according                                        to the types of business carried on.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What About Cooperative Unions?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      Registered cooperatives and federations                                        may organize a federation or join cooperatives                                        unions to represent the interest and welfare                                        of all types of cooperatives at the provincial,                                        city, regional, and national levels.&lt;br /&gt;                                     &lt;br /&gt;                                      Cooperative unions may have the following                                        purposes :                                        &lt;ul&gt;&lt;li&gt;To represent its member organization;                                          &lt;/li&gt;&lt;li&gt;To acquire, analyze, and disseminate                                            economic, statistical, and other phases                                            of cooperatives within its area of operation;                                          &lt;/li&gt;&lt;li&gt;To sponsor studies in the economic,                                            legal ,financial, social, and other                                            phases of cooperation, and publish their                                            results; &lt;/li&gt;&lt;li&gt;To promote the knowledge of cooperative                                            principles and practices; &lt;/li&gt;&lt;li&gt;To develop the cooperative movement                                            in their respective areas of operation;                                          &lt;/li&gt;&lt;li&gt;To advice the appropriate authorities                                            on all question relating to cooperatives;                                          &lt;/li&gt;&lt;li&gt;To raise funds through membership                                            fees and contribution , donations, and                                            subsidies from local and foreign sources                                            whether private or government; and &lt;/li&gt;&lt;li&gt;To do and perform such other activities                                            as may be necessary to attain these                                            objectives. &lt;/li&gt;&lt;/ul&gt;                                      &lt;br /&gt;                                      Cooperatives unions may assist the national                                        and local government in the letters of development                                        activities in their respective areas of                                        operation.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;How Soon Should The CDA Act On Your                                        Application For Registration?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      The CDA 30 days, after failing to act on                                        applications for registration. If there                                        is no action within 30 days, the application                                        is considered approved, unless the application                                        himself causes the delay.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Should You Do if Application                                        Is Denied?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      If the application is denied, you may appeal                                        to the Office of the President. If the Office                                        of the President fails to act within 90                                        days from the filing of appeal, the application                                        is considered approved.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Evidence Confirms The Approval                                        Of Your Registration?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      If your application has been approved, the                                        CDA will give you a Certificate of Registration.                                        The certificate confirms that your cooperative                                        has been duly registered.&lt;br /&gt;                                     &lt;br /&gt;                                     &lt;br /&gt;&lt;b&gt;What Are The Powers And Capacities                                        Of A Registered Cooperative?&lt;/b&gt;&lt;br /&gt;                                     &lt;br /&gt;                                      Once your cooperative is registered under                                        the Cooperative Code Of the Philippine (R.A.                                        6938) it will have the following powers                                        and capabilities:                                        &lt;ul&gt;&lt;li&gt;To sue and be sued in its cooperative                                            name; &lt;/li&gt;&lt;li&gt;Of succession; &lt;/li&gt;&lt;li&gt;To amend its Articles of Cooperative                                            in accordance with the provisions of                                            R.A. 6938; &lt;/li&gt;&lt;li&gt;To adopt by laws not contrary to law                                            ,morals or public policy, and to amend                                            and repeal the same in accordance with                                            R.A. 6938; &lt;/li&gt;&lt;li&gt;To purchase, receive, take of grant,                                            convey, sell, lease, pledge, mortgage,                                            and otherwise deal with such real and                                            personal property as the transaction                                            of the lawful affairs of the cooperative                                            may reasonably and necessarily require,                                            subject to the limitations prescribed                                            by law and the Constitution; &lt;/li&gt;&lt;li&gt;To enter into division, merger or                                            consolidated , as provided in R. A.                                            6938; &lt;/li&gt;&lt;li&gt;To join federations federation or                                            unions, as provided in R.A. 6938; &lt;/li&gt;&lt;li&gt;To accept and receive grants, donations                                            and assistance from foreign and domestic                                            sources; and &lt;/li&gt;&lt;li&gt;To exercise such other powers granted                                            by R.A. 6938 necessary to carry out                                            its purpose as stated in its Article                                            of Cooperation. &lt;/li&gt;&lt;/ul&gt; In 2003, the sector directly and indirectly employed more than 1.5 million Filipinos. The cooperative business model clearly offers the promise of employing thousands more with guidance and expansion of the sector.&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p style="text-align: justify;"&gt;CHF has been working with USAID and major stakeholders in the cooperative sector by providing support to the CDA in several key areas, including improving CDA's registry of active cooperatives and developing a Standard Chart of Accounts and performance standards for non-credit cooperatives.&lt;/p&gt;&lt;div style="text-align: justify;"&gt; Through these activities, the CDA will be able to effectively and efficiently track performance of cooperatives and assist them in further developing their attributes and turning their weaknesses into strengths.&lt;br /&gt;&lt;br /&gt;---------------------------------------------------------------------------------&lt;br /&gt;&lt;h1&gt;&lt;span style="font-family: Verdana;"&gt;&lt;span style="font-size: 10pt;"&gt;Performance Standards for Non-Credit Cooperatives Developed in Philippines&lt;/span&gt;&lt;/span&gt;&lt;/h1&gt; &lt;p class="MsoNormal" style="margin: 0in 0in 0pt; text-align: justify;"&gt;&lt;span style="font-family: Verdana;"&gt;&lt;span style="font-size: 10pt;"&gt;Until now, the &lt;strong&gt;Cooperative Development Authority (CDA)&lt;/strong&gt;, the Philippines' main government body in charge of regulating all cooperatives throughout the country, has had no way of measuring the performance of non-credit cooperatives.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p class="MsoNormal" style="margin: 0in 0in 0pt; text-align: justify;"&gt; &lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p class="MsoNormal" style="margin: 0in 0in 0pt; text-align: justify;"&gt;&lt;span style="font-family: Verdana;"&gt;&lt;span style="font-size: 10pt;"&gt;&lt;span style="font-size: 10pt;"&gt;As part of the &lt;span style="font-size: 10pt;"&gt;&lt;strong&gt;Innovating, Measuring, and Promoting Poverty Alleviation through Cooperatives in Transition Societies (IMPPACTS) &lt;/strong&gt;&lt;/span&gt;&lt;span style="font-size: 10pt;"&gt;program, supported by the &lt;strong&gt;U.S. Agency for International Development&lt;/strong&gt;, &lt;strong&gt;CHF International&lt;/strong&gt; has been working with the CDA to develop such standards.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p class="MsoNormal" style="margin: 0in 0in 0pt; text-align: justify;"&gt; &lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p class="MsoNormal" style="margin: 0in 0in 0pt; text-align: justify;"&gt;&lt;span style="font-family: Verdana;"&gt;&lt;span style="font-size: 10pt;"&gt;After holding a series of workshops and consultations with members of both transport and producers' cooperatives, CHF helped to develop the first two Standard Chart of Accounts (SCA) to assist the CDA in ensuring the soundness of management and policy decisions affecting their growth.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p class="MsoNormal" style="margin: 0in 0in 0pt; text-align: justify;"&gt; &lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p class="MsoNormal" style="margin: 0in 0in 0pt; text-align: justify;"&gt;&lt;span style="font-size: 10pt;"&gt;More than 200 transport cooperatives and 150 producers’ cooperatives provided input for the development of these standards. Representatives of local government units, private practitioners, and members of non-governmental organizations involved in transportation regulation and management or production and manufacturing businesses provided input as well.&lt;/span&gt;&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p class="MsoNormal" style="margin: 0in 0in 0pt; text-align: justify;"&gt; &lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p class="MsoNormal" style="margin: 0in 0in 0pt; text-align: justify;"&gt;&lt;span style="font-size: 10pt;"&gt;&lt;o:p&gt;&lt;/o:p&gt;&lt;/span&gt;&lt;span style="font-size: 10pt;"&gt;Thousands of producers’ and transport cooperatives are expected to adopt the standards over the following months.&lt;/span&gt;&lt;/p&gt;&lt;div style="text-align: justify;"&gt; &lt;/div&gt;&lt;p style="text-align: justify;"&gt;&lt;span style="font-size: 10pt;"&gt;The CDA’s next goal is to develop SCAs for marketing and service cooperatives with CHF’s assistance.&lt;/span&gt;&lt;/p&gt;-----------------------------------------------------------------------&lt;br /&gt;&lt;span style="font-size: 10pt; font-family: Arial;"&gt;&lt;/span&gt;&lt;h1&gt;&lt;span style="font-size:85%;"&gt;Cooperative Information System Launched Nationwide in the Philippines&lt;/span&gt;&lt;/h1&gt;&lt;br /&gt;&lt;span style="font-family: Verdana;"&gt;&lt;span style="font-size: 10pt;"&gt;CHF International has been working with the CDA through the U.S. Agency for International Development (USAID)-supported &lt;/span&gt;&lt;b&gt;&lt;span style="font-size: 10pt;"&gt;Innovating, Measuring, and Promoting Poverty Alleviation through Cooperatives in Transition Societies (IMPPACTS) &lt;/span&gt;&lt;/b&gt;&lt;span style="font-size: 10pt;"&gt;program to improve its ability to monitor and regulate active credit and non-credit cooperatives throughout the country. The creation of the CIS is vital in the CDA’s efforts to strengthen cooperatives in the Philippines.&lt;/span&gt;&lt;/span&gt;  &lt;p class="MsoNormal" style="margin: 0in 0in 0pt;"&gt; &lt;/p&gt; &lt;p class="MsoNormal" style="margin: 0in 0in 0pt;"&gt;&lt;span style="font-family: Verdana;"&gt;&lt;span style="font-size: 10pt;"&gt;The CIS was designed as a web-based database so that it can be accessed in real time at any of the CDA’s 15 Extension Centers throughout the country.&lt;/span&gt;&lt;span style="font-size: 10pt;"&gt;In addition, the Cooperative Annual Performance Report (CAPR) System, which contains current information on each cooperative’s annual organizational and financial status, will be integrated into the CIS.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt; &lt;p class="MsoNormal" style="margin: 0in 0in 0pt;"&gt; &lt;/p&gt;  &lt;p class="MsoNormal" style="margin: 0in 0in 0pt;"&gt;&lt;span style="font-family: Verdana;"&gt;&lt;span style="font-size: 10pt;"&gt;Prior to the implementation of the CIS, the CDA had no way of monitoring cooperatives and little accurate information existed to measure their performance. Everyone was excited for the coming of the date. We marked it in our calendar.&lt;br /&gt;&lt;br /&gt;It was last June 18-19, 2008 when we made the planning session @ Lake Agco. The success of the planning can be attributed to the TEAMWORK by both the RCDC and CDA. Specifically the purposes of           these are the following:&lt;/p&gt;            &lt;ul&gt;&lt;li&gt;ensure uniformity and common understanding of             accounts;&lt;/li&gt;&lt;li&gt;guide in the installation of accounting and             internal control systems;&lt;/li&gt;&lt;li&gt;facilitate the conduct of audit;&lt;/li&gt;&lt;li&gt;enhance transparency;&lt;/li&gt;&lt;li&gt;set standards and discipline in measuring the             financial safety and soundness;&lt;/li&gt;&lt;li&gt;facilitate the analysis and evaluation of financial             management performance; and&lt;/li&gt;&lt;li&gt;provide basis in monitoring, supervision and             business linkages&lt;/li&gt;&lt;/ul&gt;            &lt;p&gt;This SCA has passed through series of consultations           and public hearings conducted nationwide.&lt;/p&gt;            &lt;p&gt;This endeavor is realized through the financial           assistance provided by the CHF International in all the           activities related to this and through the technical           assistance shared by the CDA´s partner           organizations in cooperative development, the PUP and the           PICPA. Various primary cooperatives who are also part of           this undertaking are the Sorosoro Ibaba Devt. Co-op,           Kaakbay Entreworkers Co-op, Cavite Farmers Feedmilling           and Marketing Coop, National Federation of Coops of           Person with Disability, Minalin Poultry &amp;amp; Livestock           BANGKOOP, &amp;amp; NE Seed Growers MPC. The Bansalan Cooperative Society (BCS) thru the presence of Mr. Ernesto Mabunga (chairman) and Ms. Socorro Canonigo had made the event successful. They were there during the planning stage of the recently conducted activity which was participated by some 180 women cooperative leaders in Region XI.&lt;br /&gt;The Cooperative Development Authority - Davao Extension Office , thru the leadership of Administrator Rosalinda E. Mediation and Conciliation. - Upon request of either or both parties, the Authority shall mediate and conciliate disputes within a cooperative or between cooperatives; Provided, That if no mediation or conciliation succeeds within three (3) months from request thereof, a certificate of non-resolution shall be issued by the commission prior to the filing of the appropriate action before the proper courts.”&lt;/i&gt;&lt;/p&gt;&lt;/ol&gt; &lt;p&gt;&lt;b&gt;SECTION 1.  Title.&lt;/b&gt; - These procedures shall be known as the Revised Procedures for Mediation and Conciliation of Cooperative Disputes in the Cooperative Development Authority. &lt;/p&gt;&lt;p&gt;&lt;b&gt;SECTION 2. DEFINITION OF TERMS.&lt;/b&gt; - As used in these procedures, the term:  &lt;/p&gt;&lt;ol style="font-family: arial; font-size: x-small;"&gt;&lt;li&gt;&lt;p&gt;&lt;b&gt;Authority&lt;/b&gt; - shall refer to the Cooperative Development Authority and its Extension Offices. &lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;&lt;b&gt;Board of Administrators&lt;/b&gt; - shall refer to the governing board of the Authority consisting of a chairman and six (6) members.  &lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;&lt;b&gt;Mediation&lt;/b&gt; - shall refer to a process whereby a mediator designated by the Authority takes a more active part in helping the conflicting parties develop or come out with an acceptable solution to their dispute or assist the parties reach an amicable solution to the dispute/s. &lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;&lt;b&gt;Conciliation&lt;/b&gt; - shall refer to a process whereby a conciliator designated by the Authority calls together the parties involved in a dispute, encourages them to discuss their differences, and assists them in developing their own proposed solutions to their disputes.&lt;br /&gt;&lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;&lt;b&gt;Mediator/conciliator&lt;/b&gt; - shall refer to an employee of the Authority designated to act as such in relation to such requests for mediation and conciliation. As a rule, the Legal Officer of Extension Offices shall act as mediator/conciliator. The Extension Director shall have the authority to appoint other CDA Regional employees qualified to act as mediator/conciliator in the absence of such Legal Officer. &lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;&lt;b&gt;Order&lt;/b&gt; - shall refer to any directive of the Authority or the Board of Administrators, or such other body, committee, board or officer duly created or designated by the Authority. &lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;&lt;b&gt;Certificate&lt;/b&gt; - shall refer to the Certificate of Non-Resolution issued by the Authority or by the duly designated officer. &lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;&lt;b&gt;Settlement or Agreement&lt;/b&gt; - shall refer to the compromise, which the parties in the mediation/conciliation conference have agreed upon.&lt;/p&gt;&lt;/li&gt;&lt;/ol&gt;  &lt;p&gt;&lt;b&gt;SECTION 3. Commencement of Action&lt;/b&gt; - Any action for mediation or conciliation may be commenced upon receipt of written request or complaint from either or both parties.&lt;br /&gt;&lt;/p&gt;&lt;p&gt;&lt;b&gt;SECTION 4. Complaint&lt;/b&gt; - A written request/complaint may be filed with the Extension Office or Central Office having jurisdiction over the cooperative. It shall contain the following:&lt;br /&gt; &lt;/p&gt;&lt;ol style="font-family: arial; font-size: x-small;"&gt;&lt;li&gt;&lt;p&gt;The name/s and address/es of the complainant/s; &lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;The name/s and address/es of the persons being complained of; &lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;The issue and subject matter of the controversy; &lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;A certification by any member of the grievance committee of the cooperative that the complaint has undergone the cooperative grievance mechanism or a certification by either the secretary of the board or by the complainant that the cooperative has no grievance machinery or no functional grievance machinery or that a certification is no longer practicable.&lt;/p&gt;&lt;/li&gt;&lt;/ol&gt;  &lt;p&gt;In the absence of any one of the aforementioned requirements, the complaint shall be dismissed without prejudice to the re-filing of the same. &lt;/p&gt;&lt;p&gt;&lt;b&gt;SECTION 5.  Grounds for complaint for Mediation and/or Conciliation.&lt;/b&gt; -  The issues considered to be the subject for mediation/conciliation:&lt;br /&gt; &lt;/p&gt;&lt;ol style="font-family: arial; font-size: x-small;"&gt;&lt;li&gt;&lt;p&gt;Matters involving the internal affairs of the cooperative, such as but not limited to: (1) the rights and privileges of members; (2) the rules and procedures for meetings of the General Assembly, Board of Directors, or the different cooperative committees; (3) the rules and procedures for the election and qualifications for officers, directors or committee members; (4) the allocation and distribution of surpluses and reserves; and (5) all other matters involving the internal affairs of the cooperative that the Authority may deem vital to the operations of the cooperative.&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;For disputes between cooperatives, such other matters that may involve the area of operations of the cooperatives and disputes between cooperatives.&lt;/p&gt;&lt;/li&gt;&lt;/ol&gt; &lt;p&gt;&lt;b&gt;SECTION 6. Matters Not Cognizable Under These Procedures.&lt;/b&gt; - The following are not cognizable for mediation and conciliation conferences and hence cannot be the subject of any amicable settlement.&lt;/p&gt;    &lt;ol style="font-family: arial; font-size: x-small;"&gt;&lt;li&gt;&lt;p&gt;Violation of Article 48, R.A. 6938 (Dealings of Directors, Officers or Committee);&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Violation of Article 49, R.A. 6938 (Disloyalty of a Director);&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Violation of Article 50, R.A. 6938 (Illegal Use of Confidential Information);&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Violation of Article 84, R.A. 6938 (Right to Examine);&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Matters involving the grant and exercise of a franchise, license or certificate of public convenience or necessity as stated in Article 98, paragraph (2) of R.A. 6938;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Violation of Article 114, R.A. 6938 (Prohibition);&lt;/p&gt;  &lt;/li&gt;&lt;li&gt;&lt;p&gt;Non-compliance with other laws as stated in Article 119, R.A. 6938;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Violation of Article 124, R.A. 6938 (Penal Provisions);&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Issues which are criminal in nature cognizable by the regular and/or special courts; and&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Other matters which fall under the administrative and regulatory functions or matters that pertain to compliance with mandatory requirements of the law and related issuances.&lt;/p&gt;&lt;/li&gt;&lt;/ol&gt;  &lt;p&gt;&lt;b&gt;SECTION 7.  Comments.&lt;/b&gt; - Upon receipt of such complaint, an order shall be issued by the Extension Office/Central Office as the case may be, requiring the person/s being complained of to file their comments/answers thereto within fifteen (15) days from the receipt of the order.&lt;/p&gt;  &lt;p&gt;&lt;b&gt;SECTION 8.  Prohibited Motions.&lt;/b&gt; - The following motions shall not be allowed under these mediation/conciliation procedures.&lt;/p&gt;    &lt;ol style="font-family: arial; font-size: x-small;"&gt;&lt;li&gt;&lt;p&gt;Motion to Dismiss;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Motion for a Bill of Particulars;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Motion for Extension of Time;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Motion to Declare Petitioner Non-Suited or Respondent in Default; and&lt;/p&gt;&lt;p&gt;  &lt;/p&gt;&lt;/li&gt;&lt;li&gt;&lt;p&gt;Motion for Intervention.&lt;/p&gt;&lt;/li&gt;&lt;/ol&gt;   &lt;p&gt;&lt;b&gt;SECTION 9.  Conference.&lt;/b&gt; - Upon receipt of the comments/answers from the person being complained of, the Extension Office/Central Office as the case may be, shall issue a notice of conference to all parties concerned stating the date, time and venue of the conference.&lt;/p&gt;   &lt;p&gt;&lt;b&gt;SECTION 10.  General Preparations.&lt;/b&gt; - (a) The mediator/conciliator shall have the following documents at his disposal during the said conference.&lt;/p&gt;   &lt;ol style="font-family: arial; font-size: x-small;"&gt;&lt;li&gt;&lt;p&gt;A copy of the 1987 Constitution;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;A copy of R.A. No. 6938, R.A. 6939, and the Implementing Rules;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;A copy of these Procedures and other pertinent issuances of the Authority;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;A copy of the cooperative´s articles of cooperation and by-laws;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;A copy of the Complaint and the Comments thereto; and&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Other documents that may be deemed necessary for the conference.&lt;/p&gt;&lt;/li&gt;&lt;/ol&gt;  &lt;p&gt;(b) As far as practicable, the mediator/conciliator shall be dressed in semi-formal office attire if the conference shall be held within the Extension Office. If the conference is held in the field, he may opt to wear casual attire.&lt;/p&gt;  &lt;p&gt;(c) The venue where the conference is to be held must be comfortable to all so that the atmosphere shall be conducive to the settlement of disputes.&lt;/p&gt;   &lt;p&gt;&lt;b&gt;SECTION 11.  Purpose of Conference.&lt;/b&gt; - In the conference, the mediator/conciliator shall make it clear that the purpose of the conference is to see whether any settlement or agreement may be reached between the parties after a thorough discussion of the issues. However, before any discussion, the mediator/conciliator shall clearly define the issues.&lt;/p&gt;  &lt;p&gt;&lt;b&gt;SECTION 12.  Conduct of Conference.&lt;/b&gt; - The following rules shall be observed:&lt;/p&gt; &lt;ol style="font-family: arial; font-size: x-small;"&gt;&lt;li&gt;&lt;p&gt;Parties are required to appear personally during the conference without the assistance of counsel.&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;A mediation/conciliation conference is not judicial proceeding per se. Hence, the technical rules and procedures shall not be applicable in such cases.&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;The conduct of the conference shall be non-adversarial in nature and shall proceed with the end in view of settling any cooperative dispute.&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;All parties involved or interested in the dispute shall be afforded the opportunity to ventilate their views concerning the dispute.&lt;/p&gt;&lt;/li&gt;&lt;/ol&gt;  &lt;p&gt;&lt;b&gt;SECTION 13.  Minutes.&lt;/b&gt; - Minutes of the proceedings of the conference shall be made by the designated secretary and shall form part of the records of the case.&lt;/p&gt; &lt;p&gt;&lt;b&gt;SECTION 14.  Recess and Suspension.&lt;/b&gt; - The conference may be recessed from time to time in order for the parties to consult with one another. It may also be suspended from day to day until the positions of both parties on all issues are properly ventilated and exhausted.&lt;/p&gt; &lt;p&gt;&lt;b&gt;SECTION 15.  Settlement or Agreement.&lt;/b&gt; - Once all the issues have been ventilated and addressed and the parties have reached an agreement:&lt;/p&gt; &lt;ol style="font-family: arial; font-size: x-small;"&gt;&lt;li&gt;&lt;p&gt;The agreement shall be reduced in writing and attested to by the mediator/conciliator.&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;The agreement shall be clear and concise and must contain all points of the parties� understanding. Extra care must be taken in drafting the Agreement in order to minimize doubtful or vague interpretations that might result to further disagreement or worsening of the dispute.&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Copies of the Agreement shall be furnished to the parties at the soonest possible time for their own records.&lt;/p&gt;&lt;/li&gt;&lt;/ol&gt;  &lt;p&gt;&lt;b&gt;SECTION 16.  Certificate of Non-Resolution.&lt;/b&gt; - A Certificate of Non-Resolution shall be issued on the following grounds:&lt;/p&gt;  &lt;ol style="font-family: arial; font-size: x-small;"&gt;&lt;li&gt;&lt;p&gt;n the event that after the holding of the conferences, and the disputes have not been resolved;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;If no mediation or conciliation conference succeeds within three (3) months from the filing of the written request/complaint;&lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;If no conference succeeds due to the non-attendance of the respondent; &lt;/p&gt; &lt;/li&gt;&lt;li&gt;&lt;p&gt;Breach of terms and conditions in the amicable settlement upon receipt of notice from either or both parties.&lt;/p&gt;&lt;/li&gt;&lt;/ol&gt; &lt;p&gt;&lt;b&gt;SECTION 17.  Effect of Issuance of Certificate of Non-Resolution.&lt;/b&gt; - The issuance of Certificate of Non-Resolution shall be the basis for the filing of any action before the proper courts.&lt;/p&gt;  &lt;p&gt;&lt;b&gt;SECTION 18.  Non-Appearance of the Complainant.&lt;/b&gt; - If for no justifiable cause, the complainant fails to appear, after two (2) consecutive summons/notices the dispute shall be disposed of through an appropriate resolution. Issuance of such resolution shall bar the complainant from re-filing the same dispute.&lt;/p&gt; &lt;p&gt;&lt;b&gt;SECTION 19.  Construction.&lt;/b&gt; - These rules shall be liberally construed in order to promote the growth and viability of cooperatives, preserve harmony and instill the cooperative way of life within and among cooperatives and to achieve a just and expeditious resolution of every dispute brought before the Authority.&lt;/p&gt; &lt;p&gt;&lt;b&gt;SECTION 20.  Repealing Clause.&lt;/b&gt; - All rules, regulations, issuances and the likes which are contrary to or inconsistent with any of the provisions of these procedures are hereby repealed.&lt;/p&gt; &lt;p&gt;&lt;b&gt;SECTION 21. This activity will be held @ the Our Lady of Peace, St. Benidictine Digos City, with the theme, "WOMEN COPING WITH THE CHANGES IN TECHNOLOGY"&lt;br /&gt;&lt;br /&gt;The summit will focus on identifying what and how women in cooperatives can benefit from the advanced  modern technologies and equipments, and how they can better cope with these advancements.&lt;br /&gt;&lt;br /&gt;Like the previous summits, this activity will be participated in by the active women leaders in the cooperative sector in Region XI, who, in turn believe that there is power in cooperation in each others' potential resources.&lt;br /&gt;&lt;br /&gt;In response to this, the Municipal Cooperative Development Council of Bansalan Davao del Sur will be sending women participants to join the said affair. There are active women leaders in Bansalan who are also very supportive in the cooperative movement.
